Terms of Service for Safe Frame Pro Platform

Please read these terms carefully before using our platform.

SERVICE AGREEMENT FOR PHOTOGRAPHERS (B2B)

This Service Agreement governs the relationship between Safe Frame Technologies FZCO ("Service Provider") and professional photographers ("Photographers") using the Safe Frame Pro platform for business purposes. By registering and using our platform, you agree to be bound by these terms.

§ 1. Glossary of Terms and Definitions

Whenever the following capitalized terms are used in this document, they shall be understood as follows:

Service ProviderSAFE FRAME TECHNOLOGIES FZCO, a company registered in Dubai, United Arab Emirates, registration number 65276, with its registered office at IFZA Business Park, Dubai Digital Park, PO Box 342001, Dubai, United Arab Emirates.

PhotographerA natural person or legal entity that registers and uses the Platform to provide photographic services to End Clients, acting as a data controller for personal data of End Clients.

End ClientA third party who is a client of the Photographer and receives access to Galleries through the End Client Application.

PlatformThe Safe Frame Pro technological platform, including web-based dashboard and administrative tools provided by the Service Provider to Photographers.

End Client ApplicationMobile application available for download from Google Play and Apple App Store, used by End Clients to access Galleries.

GalleryA collection of User Content, particularly photos, created by the Photographer on the Platform and made available to the End Client via a unique URL.

User ContentAny content, including photos, videos, texts, and other materials uploaded by the Photographer to the Platform.

AccountAn individual collection of resources and permissions within the Platform, created during Registration, accessible through Login Credentials.

Registration DataData provided by the Photographer during Registration, including at least an email address and password.

ServiceA service provided electronically by the Service Provider to the Photographer, consisting of making the Platform's functionalities available in accordance with the selected Subscription Plan.

§ 2. Subject of the Agreement

1. Service Provision. The Service Provider undertakes to provide the Photographer with access to the Platform's functionalities in accordance with the selected Subscription Plan, and the Photographer undertakes to pay the agreed remuneration.

2. Platform Functionalities. The Platform enables Photographers to:

Create and manage secure photo galleries

Share galleries with End Clients through secure mobile application

Manage client selections and downloads

Process payments and generate invoices

Access analytics and reporting tools

§ 3. Registration and Account Management

1. Registration Process. To use the Service, the Photographer must complete the registration process by providing accurate Registration Data and accepting these Terms of Service.

2. Account Security. The Photographer is responsible for maintaining the confidentiality of Login Credentials and for all activities performed using their Account.

3. Account Verification. The Service Provider reserves the right to verify the identity and professional status of Photographers before granting full access to the Platform.

§ 4. Subscription Plans and Payment

1. Subscription Plans. The Service Provider offers various subscription plans (Basic, Plus, Pro, Ultimate) with different features and storage limits as described on the Platform.

2. Payment Terms. Subscription fees are charged in advance for the selected billing period. All fees are non-refundable except as required by applicable law.

3. Price Changes. The Service Provider reserves the right to change subscription prices with 30 days' notice to existing subscribers.

§ 5. Intellectual Property and Content

1. Photographer's Content. The Photographer retains all intellectual property rights to User Content uploaded to the Platform. By using the Service, the Photographer grants the Service Provider a limited license to store, process, and display the content solely for the purpose of providing the Service.

2. Platform Rights. All rights to the Platform, including software, design, trademarks, and other intellectual property, belong exclusively to the Service Provider.

3. Content Responsibility. The Photographer represents and warrants that they have all necessary rights to the User Content and that such content does not violate any third-party rights.

§ 6. Data Protection and Privacy

1. Data Controller Role. For End Client personal data (including images), the Photographer acts as the Data Controller, while the Service Provider acts as a Data Processor.

2. GDPR Compliance. Both parties commit to compliance with applicable data protection laws, including GDPR, CCPA, and other relevant regulations.

3. Data Processing Agreement. The processing of personal data is governed by a separate Data Processing Agreement that forms an integral part of this Service Agreement.

§ 7. Service Availability and Support

1. Service Level. The Service Provider strives to maintain high service availability but does not guarantee uninterrupted access to the Platform.

2. Maintenance. The Service Provider reserves the right to perform scheduled maintenance that may temporarily affect service availability.

3. Support. Technical support is provided according to the support terms specified for each subscription plan.

§ 8. Limitation of Liability

1. Service Limitations. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. The Service Provider does not guarantee that the Service will be error-free or uninterrupted.

2. Liability Exclusion. To the maximum extent permitted by law, the Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform.

§ 9. Termination

1. Termination by Photographer. The Photographer may terminate this Agreement at any time by canceling their subscription through the Platform.

2. Termination by Service Provider. The Service Provider may terminate this Agreement immediately in case of material breach of these terms by the Photographer.

3. Effect of Termination. Upon termination, access to the Platform will cease, and User Content may be deleted after a reasonable notice period.

§ 10. Final Provisions

1. Governing Law. This Agreement is governed by the laws of the United Arab Emirates, with disputes subject to the jurisdiction of Dubai courts.

2. Changes to Terms. The Service Provider may update these terms with reasonable notice to Photographers.

3. Severability. If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force and effect.
